Adecco is an International HR and Consultancy firm. Our client, in the Real Estate Industry is looking for a Company Secretary.

 

Our client, in the Real Estate Industry is looking for a Company Secretary.  

The successful candidate will be responsible of organizing and coordinating all Board and Committees meetings of the Group, ensuring full compliance with all relevant constitutional and legal documents.  The incumbent will work closely with the Chief Executive Officer of the Group for the preparation of agendas, minutes of meetings, resolutions and statutory filings.

Main responsibilities:

Meetings

  • Overseeing proper scheduling, coordination and operation of the meetings and committee meetings;
  • Organising and preparing agendas and papers for board and committee meetings;
  • Maintaining up to date records and distributing material;
  • Taking minutes and following up actions from meetings;
  • Oversee the maintenance of an annual calendar of board and committee meetings.

Statutory Filing

  • Preparation and submission of all statutory filings in an efficient and timely manner;
  • Overall responsibility for maintenance of statutory books and registers; 
  • Assisting with the preparation of the annual statutory report and accounts.

Legal Documents

  • Ensuring full compliance with relevant constitutional documents, terms of reference/charters;
  • Preparation of board resolutions;
  • Liaising with legal advisers on ad hoc projects and issues affecting the businesses;
  • Responsible for maintenance and renewal of D&O Insurance;
  • Reviewing commercial contracts and terms and conditions and providing advice as necessary;
  • Providing assistance on ad hoc projects as and when required;
  • Providing advice on legal matters.

Any other assignments as delegated

Qualification:

  • ICSA / FCIS or Legal qualified 
  • At least 5 years post qualification experience in a public of PIE environment;
  • Experience of working in the property development sector is desirable;
  • Knowledge of family owned companies would be desirable.

Candidate profile:

  • Fluent in English and French;
  • A self-motivated and goal-oriented individual;
  • Ability to operate both autonomously to drive deliverables, as well as to work effectively as part of a team;
  • Able to multi-task and work flexibly to meet the needs of the company secretariat/legal advisor function;
  • Able to work under pressure to tight timelines;
  • Excellent written and verbal communication skills with fluency in English and French;
  • Eye for detail, rigour and excellence oriented.
