Alteo Limited is currently looking for an enthusiastic Governance and Corporate Affairs Officer who will assist the Company Secretary and the Governance and Corporate Affairs function in delivering company secretarial, governance and corporate affairs services to the companies within Alteo and Miwa Sugar Groups, including Alteo Limited and Miwa Sugar Limited.
Duties & responsibilities
Company Secretariat Support
- Assist in preparing agendas, notices and board packs for meetings of the Board and its Committees.
- Assist in the drafting of minutes of meetings under the guidance of the Company Secretary.
- Draft directors’ and shareholders’ resolutions, ensuring compliance with statutory and internal requirements.
Statutory and Regulatory Compliance
- Complete required filings with the Registrar of Companies and other regulatory authorities within prescribed deadlines.
- Maintain company registers and ensure proper safekeeping of statutory and corporate records.
- Communicate with regulatory authorities as required.
- Monitor changes in legislation and assist in implementing governance and compliance requirements.
- Support the preparation of regulatory submissions, disclosures and reporting to relevant authorities and other stakeholders.
Corporate Governance
- Assist in the preparation of the Corporate Governance Report and other disclosures for inclusion in the Annual Report.
- Support the implementation of governance frameworks, policies and procedures across the Group.
- Assist with the coordination of board and committee evaluations and governance improvement initiatives.
- Assist in monitoring compliance with listing rules, codes of corporate governance and applicable regulations, and maintain awareness of best practices in governance.
Corporate Affairs and Stakeholder Engagement
- Support internal and external stakeholder communications on governance, regulatory and corporate matters.
- Contribute to the coordination of corporate affairs initiatives.
Administrative and Liaison Duties
- Assist the Company Secretary with day-to-day administrative and organisational tasks.
- Coordinate with banks for changes in signatories and related matters.
- Liaise with auditors, regulators and other stakeholders on company secretarial matters.
- Address shareholders’ inquiries and respond to internal and external queries in a timely and professional manner.
- Maintain company secretarial databases, records and filing systems.
Qualifications, Skills & Experience
- Degree in Law, Business Administration, Management or a related field.
- Chartered Governance Institute qualification, or progress towards it, will be an advantage.
- At least 3 years’ experience in company secretarial practice or a related corporate governance role.
- Sound knowledge of company law, corporate governance frameworks and regulatory compliance requirements.
- Strong drafting skills and excellent command of written and spoken English and French.
- Organised, methodical and attentive to detail.
- Ability to handle confidential information with discretion.
- Proficiency in Microsoft Office tools; experience with board management software will be an advantage.
- Good interpersonal skills and ability to work effectively as part of a team.
- Ability to manage multiple priorities and meet deadlines under pressure.
