Our client is seeking to recruit a Legal Executive.

 

Responsibilities
General advice on Mauritian law in relation to contracts and such other matters arising;
General advice in respect of litigation;
Legal consultation, drafting letters, briefs or any other document, compiling legal documentation for the business units;
Liaison with lawyers and attorneys at laws;
Contract drafting as per requirements and needs;
General assistance & advice regarding syndic issues;
Drafting of board resolutions for all companies as per requirements;
Appointments of directors as and when required;
Act as company secretary and maintain:
Minute book of directors meetings
Minute book of general meetings
Share certificate book
Register of shareholders, transfer and shares pledged
Register of directors, managers, secretaries
Register of directors' interests
Register of charges and register of substantial shareholding
Filing of Annual return and such other notices to the Registrar of Companies as may be required under the Companies Act 2001
Convocation of meetings of directors' if required
Drafting of minutes of directors' meetings and where applicable filings at the Registrar Companies
Attendance of meetings of directors if required
Convocation of the annual and any special meetings of shareholders
Attendance at the annual and special meetings, if required
Drafting of the meetings of the annual and special meeting
Perform any other cognate duties.

Profile
Degree in law and / or Chartered Secretarial qualifications (ICSA);
Master's Degree or equivalent will be an advantage;
Experience with a diverse range of legal issues, with an emphasis on transactional practice, such international commercial transactions, project finance, bank finance, construction and general corporate law;
Ability to work with multidisciplinary teams and institutions;
Fluent in written and oral communication in French and English;
Be of outstanding character and integrity;
Be free of all conflicts of interest and committed to protecting the integrity of one and all;
Good interpersonal skills;
Sound knowledge of MS office;
Discrete and ethical.
