The Company Secretarial Assistant will support the Company Secretary and/or Assistant Company Secretary in ensuring that the company complies with statutory obligations and corporate governance best practices.

 

Key Responsibilities

Statutory & Regulatory Compliance

  • Assist in the preparation and timely filing of statutory returns and documents with the Registrar of Companies and other regulators.
  • Maintain and update statutory registers (e.g., members, directors, charges, interests).
  • Ensure that company records are accurate, up to date, and compliant with the Companies Act and other applicable laws.

Board & Shareholder Support

  • Assist in scheduling board, committee, and shareholder meetings.
  • Prepare draft notices, agendas, and board packs under supervision.
  • Take notes at meetings and assist in the preparation and circulation of minutes and resolutions.
  • Ensure that signed resolutions are properly recorded and filed.

Documentation & Records

  • Maintain the company’s statutory records, files, and databases.
  • Draft correspondence, forms, and internal reports as required.

Liaison & Communication

  • Act as a contact point for shareholders, regulators, auditors, and other stakeholders.
  • Assist in responding to routine requests for information or documentation.
  • Provide support to internal teams requiring company information.

 

Administrative Support

  • Provide general secretarial and administrative support to the corporate secretarial team.
  • Perform ad hoc duties and projects assigned by the Company Secretary.

Qualifications & Skills

  • Diploma/Degree in Law, Business Administration, Management, or related field.
  • Student/affiliated member of the Chartered Governance Institute (CGI/ICSA) would be an advantage.
  • Good understanding of the Companies Act 2001 and corporate governance principles.
  • Strong written and verbal communication skills in English and French.
  • High attention to detail and ability to work accurately under pressure.
  • Good organizational and time-management skills.
  • Proficiency in Microsoft Office and company secretarial software (e.g., CBRIS portal).
