We are looking for an Assistant to Company Secretary to join MEDINE GROUP| Support Services (Company Secretariat).
JOB SUMMARY:
The Assistant to Company Secretary supports the Company Secretary in ensuring compliance with statutory, legal, regulatory, and corporate governance obligations. This role involves managing board and committee processes, maintaining statutory records, and advising on governance best practices.
DUTIES & RESPONSIBILITIES:
1. Governance & Compliance
- Ensure adherence to the Companies Act 2001 and other relevant legislation.
- Advise the Board and senior management on corporate governance matters.
- Promote best governance practices and maintain ethical standards.
2. Board & Committee Support
- Organize and coordinate Board, Committee, and shareholder meetings.
- Prepare agendas, notices, minutes, and resolutions.
- Assist in drafting the Annual Report and governance documents.
3. Statutory Filings
- Handle corporate filings with regulators (Registrar of Companies, Stock Exchange of Mauritius, Financial Services Commission).
- Maintain statutory registers and records of directors’ interests.
- Ensure timely filing of share transfers and annual returns.
4. Advisory & Support
- Provide guidance to the Board on duties and responsibilities.
- Liaise with auditors, regulators, and external stakeholders.
- Respond to queries related to company secretarial functions.
5. OTHERS
- Any other cognate duties as may be necessary in the circumstances and/or required by the employer.
CANDIDATE’S PROFILE:
Qualifications Required:
- Bachelor’s degree in Law, Business Administration, or related field.
- Membership of a recognized professional body (e.g., CGI UK & Ireland).
- Minimum 5 years in a similar role, preferably in a regulated industry.
Key competences (Knowledge, Skills, Attitudes, Behaviours):
- Strong knowledge of corporate laws and governance frameworks.
- Excellent drafting, organizational, and administrative skills.
- Ability to manage deadlines and handle confidential information.
- Strong communication and interpersonal skills.
- Ability to work under pressure and manage multiple tasks efficiently.
