Join a dynamic team as a Corporate Administrator, supporting governance, compliance, and company secretarial functions across multiple entities

 

We are seeking a detail-oriented and proactive Corporate Administrator to join our clients dynamic Company Secretarial team. In this role, you will contribute significantly to the effective management of corporate governance and statutory compliance across a portfolio of companies. Your responsibilities will include supporting the organization of key meetings, maintaining statutory records, and engaging with internal and external stakeholders. Key Responsibilities
  • Support the Company Secretary and Assistant Company Secretaries in managing a portfolio of domestic and group companies.
  • Organize Shareholder, Board, and Board Committee meetings, including timely preparation and issuance of notices, agendas, and meeting packs.
  • Prepare and circulate minutes of proceedings and draft Board and Shareholder written resolutions for review and approval.
  • Ensure timely compliance with statutory filing requirements to regulatory authorities such as the Registrar of Companies (MNS platform), Financial Services Commission, Financial Reporting Council, and the Stock Exchange of Mauritius.
  • Maintain statutory registers, corporate records, and manage the Share Registry Management System (SRM), including processing share transfers for non-listed companies.
  • Conduct KYC reviews for directors and company portfolios; maintain up-to-date records for governance and compliance reporting (e.g., Corporate Governance Reports for PIE companies).
  • Ensure safekeeping of statutory documents including minute books, registers, and archives.
  • Liaise with a range of stakeholders, including banks, auditors, government bodies, regulators, and executives of group companies.
  • Provide assistance in responding to queries from directors and management, and support other governance-related tasks as assigned by management.
Requirements
  • Diploma in Administration, Law and Management, or a related field.
  • Minimum 2 years of experience in corporate administration and familiarity with AML/CFT regulations.
  • Solid understanding of statutory compliance, corporate governance frameworks, and regulatory filing processes.
  • Proficiency in MS Office applications.
  • Excellent organizational, interpersonal, and written communication skills.
  • Ability to handle sensitive information with discretion and maintain high standards of accuracy and confidentiality.
