Our client, in the Real Estate Industry is looking for a Company Secretary.   

Reporting to the Chairman, Chief Executive Officer and other Board Members, the successful candidate will be responsible for ensuring the statutory duties imposed on the Company and its Board of Directors under the Companies Act and other statutory instruments are effectively discharged and complied with and the Board advised on such matters.

Main Responsibilities:

Statutory

  • Overseeing proper scheduling, coordination and operation of the board meetings and committee meetings.
  • Organising and preparing agendas and papers for board and committee meetings, maintaining up to date records and distributing material.
  • Taking minutes and following up actions from meetings.
  • Providing dedicated point of contact for all board and committee members.
  • Oversee the maintenance of an annual calendar of board and committee matters, ensuring full compliance with relevant constitutional documents, terms of reference/charters.
  • Legal Entity Governance, as well as all other statutory, regulatory and legal requirements.
  • Preparation and submission of all statutory filings in an efficient and timely manner.
  • Overall responsibility for maintenance of statutory books and registers.
  • Assisting with the preparation of the annual statutory report and accounts.
  • Overseeing the filing of statutory accounts.
  • Preparation of board resolutions.
  • Provision of company information as required by business, auditors and regulators.
  • Drafting, maintenance and approval of policies and procedures.
  • Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders.
  • Preparing agreed upon management information and key performance indicators.
  • Liaising with legal advisers on ad hoc projects and issues affecting the businesses.

Commercial

  • Providing guidance and advice to all departments as required to meet the needs of the business for the Group businesses.
  • Reviewing commercial contracts and terms and conditions and providing advice as necessary.
  • Providing assistance on ad hoc projects as and when required.

CSR

  • Overall responsibility for the Group's Corporate Social Responsibility policy, its maintenance and development and reporting back to the Board.
  • Providing guidance on environmental issues generally.
  • Any other assignments as may be delegated.

Qualifications:

  • Educated to degree level ICSA Qualified (ACIS or FCIS).
  • 3-5 years company secretarial experience in a financial institution.
  • Understanding of the property sector desirable.  
  • Excel, Word and PowerPoint.
  • English and French – spoken and written.
  • Excellent organisational skills.
  • Good problem-solving skills.
  • Well-organised with attention to detail.
  • Ability to write concise and accurate minutes on a timely basis.
  • The ability to assimilate and handle a large volume of information.
  • Polished and effective communication skills with the ability to build consensus in a complex family owned organization.
  • Strategic and systematic thinker with the ability to execute.
  • A working knowledge of the Companies Act and statutory regulations relating to the administration of companies in Mauritius.
