Job Description

Executive Services Ltd is seeking a motivated and professional Assistant Company Secretary to join our growing Corporate Services team.

Minimum Requirements

  • Semi-qualified or Fully Qualified CGI/ICSA professional.
  • Minimum 1-2 year of relevant experience in company secretarial and corporate services.
  • Sound knowledge of the Companies Act 2001, corporate governance principles, and statutory compliance requirements.
  • Excellent written and verbal communication skills in English and French
  • Strong organisational skills with the ability to manage multiple deadlines.
  • Proficient in Microsoft Office applications.

Key Responsibilities

  • Manage a portfolio of client companies.
  • Organise and attend Board and Shareholders' meetings.
  • Prepare agendas, board packs, minutes, and written resolutions.
  • Ensure compliance with statutory and regulatory requirements.
  • Maintain statutory registers and corporate records.
  • Prepare and file statutory returns and regulatory filings.
  • Advise clients on company law, corporate governance, and compliance matters.
  • Liaise with regulators, banks, auditors, legal advisers, and other stakeholders.
  • Assist with company incorporations, restructurings, share transfers, and other corporate transactions.
  • Support senior management with governance and client relationship management.
  • Ensure that all work is completed accurately, professionally, and within prescribed deadlines.
